1. Definitions

• "Platform" refers to the E2C website, mobile application, and related services.
• "User", "You", or "Your" refers to buyers, sellers, or visitors to the platform.
• "Seller" means any user listing unused/excess electronic components for sale.
• "Buyer" means any user purchasing components through the platform.
• "Listing" refers to product information uploaded by sellers.
• "Services" refers to marketplace listing, product matching, logistics, payment processing, quality verification, and related offerings.

2. Acceptance of Terms

By creating an account or using the platform, you accept these Terms & Conditions and agree to comply with all applicable laws.

3. Eligibility

• Users must be legally capable business entities or individuals authorized to conduct commercial transactions.
• The platform is intended for B2B transactions, not personal/consumer purchases.

4. User Account Responsibilities

• Provide accurate, up-to-date business and contact information.
• Maintain confidentiality of login credentials.
• Accept full responsibility for all activities under your account.
• Notify us immediately of any unauthorized access.

5. Marketplace Function

E2C acts as a facilitator between buyers and sellers. E2C does not own or manufacture any products listed on the platform.

We:

• Provide listing tools
• Facilitate transactions
• Offer logistics and quality validation support
• Match supply and demand using technology

We do not:

• Guarantee availability of specific products
• Guarantee product specifications provided by sellers
• Act as an importer or manufacturer

6. Seller Obligations

Sellers must:

• List accurate product information and technical specifications
• Ensure items are unused, functional, and genuinely available
• Not list counterfeit or restricted components
• Ensure lawful ownership and right to sell the items
• Pack components in industry-standard ESD-safe packaging

Sellers agree that E2C may:

• Request documentation, test reports, or certificates
• Conduct third-party quality verification
• Reject listings that violate platform standards

7. Buyer Obligations

Buyers must:

• Review product specifications before purchase
• Ensure compatibility with their intended use
• Conduct necessary technical checks post-delivery
• Report issues within the specified window (e.g., 3–7 days)

8. Pricing & Payments

• All prices are determined by sellers.
• E2C may charge transaction fees, commission, logistics fees, or service charges.
• Payments may be held in escrow until delivery confirmation.
• Users are responsible for applicable taxes, duties, and statutory compliances.

9. Logistics & Shipping

• E2C may offer integrated logistics partners.
• Delivery timelines are estimations, not guarantees.
• Risk of damage during transit depends on the selected shipping method.
• Buyers should inspect shipments immediately upon receipt.

10. Quality Verification & Returns

• E2C may facilitate third-party testing.
• Returns are allowed only under the platform's return eligibility rules:

• Incorrect item received
• Damaged in transit
• Failed quality verification (if opted for)

• Items sold "as-is" may not be eligible for returns unless specified.

11. Prohibited Activities

Users must NOT:

• Sell counterfeit, stolen, or hazardous materials
• Manipulate pricing or transactions
• Use automated systems to extract platform data
• Misrepresent identity or business details
• Upload malicious code or disrupt platform operations

12. Intellectual Property

• All platform content, branding, software, and designs belong to E2C.
• Users may not copy, modify, or reproduce any materials without permission.

13. Data Privacy & Security

Your data is processed according to our Privacy Policy and in compliance with:

• Indian IT Act 2000 & IT Rules 2011
• Applicable data protection guidelines

We implement reasonable security practices but do not guarantee complete protection against cyber threats.

14. Limitation of Liability

E2C is not liable for:

• Product defects or incompatibility
• Misrepresented listings by sellers
• Losses due to delays, logistics failures, or system downtime
• Indirect, incidental, or consequential damages

E2C's maximum liability is limited to the platform fee for the disputed transaction.

15. Indemnity

Users agree to indemnify and hold E2C harmless against claims arising from:

• Listing or selling defective or counterfeit products
• Breach of these Terms
• Violation of laws or third-party rights

16. Suspension & Termination

We may suspend or terminate user accounts for:

• Fraudulent activity
• Repeated complaints
• Violation of terms
• Legal or compliance issues

17. Governing Law

• These Terms are governed by the laws of India.
• Any disputes shall be subject to jurisdiction of courts in Gudiyatham, Tamil Nadu.

18. Modifications

• E2C may update these Terms periodically.
• Continued use after changes indicates acceptance.
